Company Secretary (Regulatory Compliance, Digital Lending and Corporate Governance)
Job Description:
Qualification: ACS / FCS (ICSI)
The Role
We are looking for a Company Secretary to own regulatory compliance and corporate governance. You will make sure the company meets the standards its RBI-regulated lending partners expect from a Lending Service Provider, keep corporate and ROC compliance spotless, and work closely with product, technology and operations to build compliance into everything launched. It is a role with real challenges and real ownership.
What You Will Own
01 RBI and Digital Lending Compliance
- Own compliance as a Lending Service Provider under the RBI Digital Lending Directions, 2025.
- Manage lending-partner due diligence, LSP agreements and periodic reviews.
- Keep borrower disclosures, key fact statements and grievance redressal compliant and current.
- Track RBI circulars and turn them into clear actions for product, tech and operations.
02 Corporate Secretarial and ROC
- Run Board meetings, AGMs and EGMs per the Companies Act, 2013 and SS-1 / SS-2.
- Draft notices, agendas, minutes and resolutions; maintain statutory registers.
- File and track ROC and MCA forms, including AOC-4, MGT-7, ADT-1, DIR-3 KYC, DPT-3, MSME-1 and MGT-14.
- Handle changes in directors, share capital and registered office.
03 Policies, Data and Governance
- Draft and refresh Board-approved policies: fair practices, grievance redressal, privacy, outsourcing, code of conduct.
- Lead Digital Personal Data Protection Act, 2023 readiness with tech and security teams.
- Run a policy review cycle and keep audit-ready, versioned evidence.
04 Contracts, Audits and Reporting
- Review compliance clauses in lender, channel-partner and vendor agreements with legal counsel.
- Prepare declarations, undertakings and compliance certificates for partners.
- Run statutory, internal and partner audits, and draft responses to regulatory notices.
- Own the master compliance calendar and a regular compliance report for management and the Board.
What We Are Looking For
Must Have
- Qualified Company Secretary (ACS / FCS), member of ICSI.
- 2+ years of post-qualification experience in secretarial and regulatory compliance, ideally in lending, fintech or financial services.
- Working knowledge of the RBI Digital Lending Directions, 2025, including the lender and LSP framework, KFS and grievance redressal.
- Strong command of the Companies Act, 2013, SS-1 / SS-2 and the MCA portal.
- Sharp drafting for Board papers, policies and regulator or partner responses.
- Deadline discipline and the judgement to act where rules are still evolving.
Good to Have
- Knowledge of SEBI compliances.
- Experience at an NBFC, bank or SEBI-registered intermediary.
- Familiarity with the DPDP Act, 2023, KYC / AML norms and IT outsourcing guidelines.
- Has handled partner audits or regulatory inspections.
- Comfortable with compliance software and building simple trackers.
- Explains regulation in plain language to product, tech and business teams.
Why Join
Ownership: Lead the compliance function, not a slice of it. Your calls shape how the company operates.
Breadth: RBI, Companies Act and data protection in one role, across multiple regulated partners.
Build: Work with product and tech as new credit products are designed, not after they launch.
