Job Description:
Job Title: Company Secretary (CS)*
Experience: 0-2 years
Location Ahmedabad
Key Responsibilities:
1 Secretarial and Corporate Governance:
• Assist in maintaining and updating statutory registers, books, and records as required under the Companies Act and LLP Act.
• Ensure compliance with corporate governance norms and facilitate necessary filings with authorities like the Registrar of Companies (RoC).2. Compliance Management:
2 Ensure timely filing of annual returns, financial statements, and other regulatory forms with the RoC and other authorities under the Companies Act, LLP Act, and other applicable regulations.
• Assist in monitoring and ensuring compliance with the FEMA Act (Foreign Exchange Management Act) for any foreign investments and related transactions.
• Keep track of compliance deadlines and report any non-compliance issues to senior management.
• Assist in preparing compliance reports and filings for routine regulatory requirements (e.g., returns, disclosures, etc.).
3. Legal Filings and Documentation:
• Prepare and file forms with the Ministry of Corporate Affairs (MCA) related to changes in corporate structure, shareholding, management, etc.
• Assist in drafting and reviewing legal documents such as board resolutions, agreements, and other corporate filings.
• Coordinate with external legal and financial advisors for legal matters related to corporate governance and compliance.
4. Merger, Amalgamation, and Corporate Restructuring:
• Assist in the preparation of documentation related to mergers, demergers, amalgamations, and other corporate restructuring activities.
• Help in coordinating with external parties (legal, financial advisors) to ensure smooth execution of corporate transactions.
5. Incorporations, Conversions, and Change of Business Structure:
• Assist in the incorporation of new companies, LLPs, and other business entities, ensuring all statutory requirements are met.
• Support the conversion of business structures (e.g., LLP to company or vice versa) and prepare necessary legal documents.
• Ensure compliance with all necessary filings when there is a change in business structure.
6. Private Placement and Fundraising Activities:
• Maintain records of private placements and ensure all regulatory requirements are met.
7. Routine Corporate Filings:
• Manage routine filings, including statutory annual filings, ROC filings, and other mandatory disclosures.
• Assist in the preparation and submission of quarterly and annual compliance reports.
• Keep track of filings deadlines and ensure timely submissions to the relevant authorities.
8. Due Diligence:
• Assist in conducting due diligence for mergers, acquisitions, and other corporate transactions, including the preparation of necessary documents and reports.
